1. Agreement to Terms

These Terms of Use ("Terms") constitute a legally binding agreement between you and Equidity Technologies L.L.C ("Company", "we", "us", or "our") concerning your access to and use of the Tradyn platform and services.

By accessing or using Tradyn, you agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use our services.

2. Description of Services

Tradyn is a white-label trading platform infrastructure service that provides brokers and financial institutions with technology solutions including but not limited to:

• Web and mobile trading terminals
• Trading APIs and integrations
• Market data services
• Algorithmic trading tools
• Analytics and reporting

3. Eligibility

To use Tradyn, you must:

• Be at least 18 years of age
• Have the legal capacity to enter into binding contracts
• Be a registered business entity (for B2B services)
• Not be prohibited from using our services under applicable laws

4. Account Credentials

Tradyn is a white-label trading platform. Account credentials are provided by your broker or financial institution, not by Tradyn directly. You agree to:

• Keep your broker-provided credentials secure and confidential
• Not share your credentials with any third party
• Contact your broker directly for any account-related inquiries
• Accept responsibility for all activities conducted using your credentials

Tradyn does not create, manage, or have access to your trading account. All account management is handled by your broker.

5. Technology Provider Disclaimer

Tradyn is solely a technology provider. We provide the trading platform interface and technology infrastructure to brokers and financial institutions. You must understand that:

• We are NOT a broker, exchange, or financial institution - Tradyn does not hold any financial licenses and does not provide brokerage services
• We do NOT collect, hold, or manage any funds - All deposits, withdrawals, and fund management are handled entirely by your broker
• We are NOT responsible for your funds - Any funds you deposit are held by your broker, not by Tradyn or Equidity Technologies L.L.C
• We do NOT provide financial advice - Trading decisions are your sole responsibility
• We do NOT guarantee trading outcomes - Trading involves substantial risk of loss

For any inquiries related to your account, funds, deposits, withdrawals, or trading conditions, please contact your broker directly. Tradyn cannot assist with any fund-related matters.

6. Acceptable Use

You agree not to:

• Use our services for any unlawful purpose
• Violate any applicable laws or regulations
• Infringe on intellectual property rights
• Transmit malware, viruses, or harmful code
• Attempt to gain unauthorized access to our systems
• Interfere with or disrupt our services
• Engage in market manipulation or fraudulent activities
• Resell or redistribute our services without authorization

7. Intellectual Property

All content, features, and functionality of Tradyn, including but not limited to text, graphics, logos, software, and code, are owned by Equidity Technologies L.L.C and protected by intellectual property laws.

You are granted a limited, non-exclusive, non-transferable license to use our services in accordance with these Terms. You may not copy, modify, distribute, sell, or lease any part of our services without our prior written consent.

8. White-Label Services

For clients using our white-label services:

• You are granted the right to rebrand and customize the platform according to your service agreement
• You remain responsible for compliance with regulations in your jurisdiction
• You must maintain accurate records of your end users
• You may not sublicense the platform without our written consent

9. Fees and Payment

Fees for our services are outlined in your service agreement. You agree to pay all applicable fees in accordance with the payment terms specified. We reserve the right to modify our fees with reasonable notice.

10. Disclaimer of Warranties

TRADYN IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT OUR SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE.

We are not a broker, exchange, or financial advisor. We provide technology infrastructure only. Trading involves substantial risk of loss.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, EQUIDITY TECHNOLOGIES L.L.C SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR GOODWILL.

Our total liability shall not exceed the amounts paid by you for our services in the twelve (12) months preceding the claim.

12. Indemnification

You agree to indemnify and hold harmless Equidity Technologies L.L.C and its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from your use of our services or violation of these Terms.

13. Termination

We may suspend or terminate your access to our services at any time, with or without cause, and with or without notice. Upon termination, your right to use our services will immediately cease.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United Arab Emirates. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of Dubai, UAE.

15. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on our website. Your continued use of our services after such changes constitutes acceptance of the new Terms.

16. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
